FactorFlow acts as a broker between clients and factoring companies. We do not directly provide factoring services or funding. All factoring agreements are between you and the third-party factoring provider.

6.2 No Guarantee of Approval

Submission of a quote request or application does not guarantee approval for factoring services. Approval is at the sole discretion of the factoring provider and subject to their underwriting criteria.

6.3 Accuracy of Information

You agree to provide accurate and truthful information regarding your business, invoices, and customers. Misrepresentation may result in denial of services and potential legal consequences.

7. Fees and Compensation

FactorFlow may receive compensation from factoring providers for successful referrals. This compensation does not affect the rates or terms offered to you. Any fees charged directly to clients will be clearly disclosed prior to agreement.

8. Intellectual Property

The content, features, and functionality of our website, including but not limited to text, graphics, logos, images, and software, are owned by FactorFlow and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our website without prior written consent.

9. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. FactorFlow makes no warranties, expressed or implied, regarding:

• The suitability of factoring services for your business
• The terms, rates, or conditions offered by factoring providers

10. Limitation of Liability

Our total liability shall not exceed the amount of fees paid by you to FactorFlow in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless FactorFlow and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
